About the department

abrdn Investments Luxembourg Corporate Manager S.A.R.L ("the Company") is a group company of abrdn that provides managerial and directorship services to various companies to which abrdn provides asset management and investment advisory services. The department fulfils a critical role in delivering key operational and structural solutions for clients of our Real Assets business.

About the role

As the Corporate Manager you will get the opportunity join a small team of Corporate Managers/Directors that together provide director and manager services to holding and finance special purpose vehicles ("SPVs") in the Infrastructure and Real Estate sector. The assets are held across Europe and are under the management of the abrdn group. You will be required to enter into a Global Employment Contract with both the Company and the various SPVs to which the Corporate Manager provides services.

Key Responsibilities

  • Acting as a Director/Manager of the Sole Corporate Manager and the SPVs, actively participating in the governance and daily transactional activity of the SPV vehicles which includes: purchases, sales, third party indebtedness and internal financing;
  • Receiving and reviewing recommendations from Abrdn group on investments, disinvestments, financing, tax and other operational matter;
  • Acting as a member of the team responsible for the governance and approval process around transactions, including participation in regular board meetings, shareholder meetings and other meetings, reviewing recommendations, supporting documentation and ensuring transactions are compliant with the articles and relevant Luxembourg legislation.
  • Oversight of activities for the SPVs and coordination with the operational teams including, approval of accounts and tax returns prepared by third parties, budgets and oversight of funding and financial activities,
  • Interacting with key stakeholders across the group and providing support on governance and the day to day operations.
  • Coordination and oversight of external Company Secretary agents/accounting agents and other external agents.
  • Ensuring compliance with legal and regulatory obligations and deadlines.
  • Assisting in the development of processes and procedures for the assessment and monitoring of risks associated with the management of the SPVS.

About the candidate
  • Experienced as a manager in a fiduciary, trust company, law firm or investment management environment with a strong understanding of infrastructure and/or real estate and a detailed knowledge of the risk associated with the holding and financing of such assets and the relevant Luxembourg laws and regulations.
  • Ability to work with autonomy within a dynamic and busy environment.
  • Experience with Luxembourg based Investment Vehicles and SOPARFIs.
  • Experience with investment across Europe using multiple investment structures.
  • Experience in legal, corporate governance and risk management and/or compliance.
  • Excellent level of English (spoken and written) and strong ability to review minutes in English.
