FINANCE AND ADMINISTRATION MANAGER - PART-TIME (M/F)
THE ROLE:
To act as the administrative and accounting manager (preferably sitting as employed director.
The position will be part time and will offer (and require) flexibility in terms of availability.
Responsibilities:
• Be one of the 3 Directors of the Management Board of Luxco
• Responsible for the finance and operations of Luxco:
o Coordination and administration of the Boards taking place in Luxembourg for Luxco's Shareholder Advisory Boards and Management Boards
o Controlling and Accounting for the entity and coordination with the shareholders finance teams for the closing and integration of accounts
o Coordination of all tasks and service providers and to successfully provide administration and accounting services, managing all the recurrent and non-recurrent activities linked to the life of the Luxco from the inception of the transaction to the disposal including:
o Administrative / Legal Services
Ensure that the highest standards of corporate governance are maintained
Ensure the company is in compliance with local laws and regulations and therefore liaising with auditors, bank, legal and tax advisors to safeguard the interests of the shareholders
Arrange board/shareholders meetings (quarterly meetings, approval of the annual accounts, investments, ...)
Draft/distribute minutes, proxies, agendas, resolutions and all other legal documentation required for each meeting
Ensure executed documents are obtained in accordance with legal deadlines and legal publications are made
Centralise legal documentation in relation to every entity
Regular interaction within the shareholders' investment teams
o Accounting Services:
Identify need to prepare and audit the company's accounts
Cash management (monitoring and control of bank accounts, check cash balances post capital calls, monthly cash positions, optimal placement of cash balances, of inter-vehicle flows of funds when appropriate, ...)
Accounts payable management (centralise all invoices, monitoring of expenses, ensure optimal payment terms)
Coordinate (internally or with third-parties) preparation of quarterly financial statements and annual accounts
Coordinate with auditors and accountants to ensure all documentation is provided to them in a timely manner and that audited annual accounts are completed in time
Ensure shareholders are provided with all required (accounting, financing or other) information
o Tax Services
structuring/restructuring/sale of investments in coordination with local advisors
Tax returns:
o Coordinate with local tax advisors to ensure preparation of the tax returns (CIT, MBT, NWT) and VAT returns.
o Review of the tax returns.
o Coordinate with local tax advisors to ensure proper filing of the tax and returns.
CRS:
o Gather and ensure the relevance of the investors' details required for the preparation of the annual reporting for CRS made by providers.
o Coordinate with local providers to ensure proper preparation and filing of CRS returns.
o Various:
Ensure proper filing of the company's annual accounts.
Ensure proper update of the company's registers (shareholders, RBE, ...).
Response to ad-hoc request from investors
THE CANDIDATE PROFILE:
• 5 years+ of relevant experience acquired in the field of:
o Domiciliation/ corporate management services
o A corporate holding structure
o A private equity or real estate fund
o Accounting firms
• Experience working as a corporate administration agent, as an accountant or as an "agent domiciliataire"
- Be familiar with the administration of boards and other general assemblies
• Have a university degree or equivalent education background in finance, accounting or legal matters.
• Have strong planning and organizing skills, pro-activeness, flexibility, multi-tasking and the ability to self-manage your workload
• Strong commitment and ability to meet deadlines
• Be fluent in English
• Team player able to communicate well in a small team
• Demonstrate the highest quality standards

Our client is the holding company of a Private Equity fund.
At the final stages of the recruitment process, the successful candidate can be asked to provide supporting documentation such as, for example, copies of diplomas or proof of previous jobs, and a standard criminal record check might also be requested.
