The Role & Key Responsibilities

Apex Group is looking for a highly motivated individual to join its Corporate Solutions - Capital Markets team. The Transaction Manager will form part of a dynamic cross-jurisdictional team that delivers a first-class client experience through professional, knowledgeable and responsive interactions with clients and key influencers.

As one of the first points of contact that a client has with the Apex Group, the Transaction Manager role is crucial to developing and maintaining strong client relationships. The successful candidate will perform technical services whilst coordinating with all our internal Apex teams, clients and external legal advisors to ensure that transactions are established and closed in an efficient manner and that the client receives an exceptional level of service.

Working with clients, intermediaries, colleagues and boards, the Transaction Manager will assist with the strategic direction for the Capital Markets business, aligning with the broader strategy for the business and the broader organisation. They will do this through partnership with the local teams and peers both regionally and globally to achieve a broad set of objectives.

Responsibilities:
  • Reviewing and negotiating transaction documentation for a wide range of structured finance transactions including repackaging, ABS, MBS, securitisations, CLOs, ETCs/ETPs, profit participating note transactions, loan origination platforms, direct lending, aviation finance/leasing and bespoke financing transactions, primarily from the perspective of the SPV and Corporate Services Provider.
  • Ensuring that the impact of regulations affecting the SPVs and Corporate Services Providers is considered in full and that Apex Group and the SPV are positioned to fulfil their regulatory obligations.
  • Ensuring compliance with internal policies and procedures, particularly in respect of the transaction set-up phase, including escalations to internal stakeholders such as internal risk, compliance and legal where necessary.
  • Co-ordinating transaction closing including providing SPV directors with a full overview of the transaction, arranging board meetings and execution of documents and liaising with legal counsel, transaction arrangers, agents and various other parties to ensure a smooth closing.
  • Ensuring efficient handover of a transaction to the client services team post-closing to ensure obligations are met in accordance with transaction documents.
  • Coordination of SPV incorporations and pre-closing registrations.
  • Reviewing transaction documentation in respect of amendments, tap issuances, restructurings, defaults and terminations.
  • Acting as a director of SPVs under administration involved in a variety of structured finance transactions.
  • Liaising with clients, legal counsel and agents in varying jurisdictions.
  • Participation in regular business development conference calls and initiatives with a view to maximising the new business pipeline.
  • Working with Business Development teams to cultivate new business relationships.
  • Ad-hoc project work, as required, including the assessment of new legislation relevant to client SPVs.
  • Understanding and speaking knowledgably about Apex Group services and its values.
  • Deputising for team manager as required.
  • Sharing information and providing training, guidance, advice and assistance to other team members as required.

Qualifications and Skills Required:
  • Typically 5+ years industry experience within Capital Markets, with legal and / or accountancy experience, specifically with Special Purpose Vehicles,
  • Understanding of and experience with a broad range spectrum of structured finance structures.
  • Highly self-motivated with an ability to work on own initiative.
  • Ability to thrive in a fast paced and dynamic work environment.
  • Strong organtisational skills with a keen attention to detail.
  • Excellent interpersonal, communication and relationship management skills.
  • Knowledge of corporate governance, relevant local laws and regulatory requirements would be a distinct advantage.
