Our client is looking for a LEGAL COUNSEL to join its legal team as part of its sustained growth.

Job Description
The Legal Counsel carries out regular reporting to the Corporate & HR Legal Manager and works together and collaborates with all the other Legal & Admin department members.
  • Participate, as legal support, in corporate projects (for example, corporate reorganizations, mergers and demergers, coordination of annual approval of financial statements, project of setting up a newco, etc. ) ;
  • In collaboration with the notary's office, coordinate and implement "corporate" notarial deeds (incorporation, contributions, increase of capital, modifications of Articles of association, etc.) ;
  • Coordinate and draft general shareholders' resolutions and ordinary resolutions approving the annual accounts, shareholders' decisions, decisions of the Board of Directors, and being responsible more generally of all the corporate housekeeping of the companies ;
  • Bring a legal support to the finance team through drafting loan agreements, waivers, and other legal documentations related to corporate finance ;
  • Monitor and carry out the renewal of the various mandates and more generally set up the organization of the corporate information at the level of all companies in close interaction with the Corporate Paralegal ;


The Successful Applicant
  • Master's degree in law, and a double Master's degree in law/management (Droit/Gestion) is a real plus given the financials link with the legal documentation involved in this mission, as well as experience in international laws (France, Spain, Switzerland etc.)
  • Previous experience in a similar role (3 years)
  • Knowledge/particular interest in corporate law, and sensibility to financial and administrative aspects of the corporate world
  • Accurate and thorough

  • Communication and assertiveness
  • Excellent command of French & English, at least in writing (minimum C1). Knowledge of Dutch is a plus
