Responsibilities:
- Responsible for organizing shareholder meetings, board meetings, and board committee meetings, including setting agenda, collecting meeting materials, organizing meetings, taking meeting minutes and following up major tasks.
- Assist the Board Office in improving compliance with relevant disclosure requirements as an overseas subsidiary of an A-share listed company, including enhancing connected party transaction management procedures, monitoring daily business operations, and following up approval procedures.
- Handle statutory filings to HK Companies Registry, including annual returns, register of charges, register of significant controllers, etc.
- Handle setting up companies or branch offices in HK or other overseas jurisdictions.
- Provide support for company's business, including conducting independence check for sponsoring projects to ensure compliance, clarifying relevant approval procedures, regulatory requirements, and disclosure requirements.
- Stay abreast of the latest developments, news, and policies in corporate governance, maintain close contact with professional associations and government departments such as the Hong Kong Institute of Chartered Governance Institute and Companies Registry, and draft internal corporate governance policies based on the latest corporate governance regulatory requirements.
Requirement:
- Bachelor's degree or above in Law, Corporate Governance, or related fields, member of HKCGI will be preferred.
- At least 3 years of experience in board office, with practical experience in taking minutes and organizing meetings.
- Familiar with the meeting procedure of board and committee, with experience in preparing, reviewing, organizing meeting materials.
- Familiar with the corporate governance system of Hong Kong, understanding the procedures of board and shareholder meetings.
- Proficiency in English, Mandarin, and Cantonese, with strong business writing skills.
- Candidates with a background in Chinese companies will be preferred.
