Global Legal plays an important role in protecting the Group's reputation by helping to future-proof the organisation through robust legal risk and issue advisory. Responsible for providing comprehensive legal advice to senior management and all global businesses and functions, the team offers a diverse range of legal skills, jurisdictional experience and practice specialisms across all countries and territories in which our businesses operate.

We are currently seeking a high calibre professional to join our team as a Senior Legal Counsel.

Principal Responsibilities

Impact on the Business/Function
  • Primary responsibility is the overall, forward looking advise and business partnership with the APAC MSS GDM and EM Rates business stakeholders
  • Understand, follow and demonstrate compliance with all relevant internal and external rules, regulations and procedures that apply to the relevant conduct of business
  • Liaise with all key stakeholders to ensure that the appropriate terms are included in all agreements to ensure the effective protection of the Bank in line with Group policies and procedures
  • Comply with Audit, Compliance, Legal and Risk Management requirements (including Treasury Documentation Policy)
  • Provide guidance and advice relating to FICC products and regulations to internal clients where required
  • Assist with template management and knowhow storage to assist with streamlining the process and delivery of legal advise to the business
  • Work as a team player across the entire APAC and Global Legal team in MSS and across the Bank
To provide key legal advisory support in all areas impacting the business including:
  • Assistance with complex/ structured OTC derivatives, structured notes, warrants and other structured products, repos, CDS, CLN, repacks and MTN products and documentation
  • On all new regional regulatory schemes, industry initiatives, new product with a view to strengthen the Bank's competitive market advantage by proactively proposing new legal arrangements and ensuring that GLA takes a leading role both in (a) managing internal discussions with the Bank's senior Business stakeholders, and (b) in showcasing the Bank's legal innovation within industry associations working group discussions
  • New legal structures to enhance the Bank's funding capabilities, optimization of the Bank's balance sheet and collateral and various new business initiatives being rolled-out in APAC with the Bank's pivot to Asia strategy and supporting the Asian business growth projections in the MSS space more generally
Requirements

Jobholder will:
  • Be able to work on legal / product structures that are new to the Bank and able to proactively drive, and advise on, new legal arrangements including representing Legal in internal working groups or with industry-wide associations for new product developments
  • Be proactive and dynamic and be comfortable working in a trading floor environment, interacting with senior internal stakeholders, including Product Desks Heads and Business-line Global Heads for high-profile projects
  • Add value by taking the initiative in the context of the Bank's roll-out of new products both in terms of (a) legal creativeness (proposing solutions to Business stakeholders) and (b) helping to manage tactical solutions with senior Business stakeholders
  • Be able to anticipate potential issues and/or sensitivities via establishing a strong working partnership with Business stakeholders
  • Be able to collaborate efficiently with legal colleagues and/or senior Business stakeholders globally
  • Have good hands-on experience in dealing with FII related
  • Have an excellent knowledge of a variety of traded markets master agreement documentation and their underlying products (in particular, ISDA, GMRA, GMSLA, structured products, CDS, CLN, MTN, repacks and other market standard derivatives and securities financing agreements) and credit, legal, regulatory and operational issues/risks relating thereto
  • Have a big picture understanding of the financial markets and understands business and regulatory implications of documentation aspects
  • Have a solid understanding of the roles, responsibilities, dependencies and dynamics between key banking functions such as Sales, Trading, Counterparty Credit Risk, Market Risk, Treasury and Counterparty Exposure Management
  • Be responsive and focused on client service
  • Be commercial and solutions focused with the ability to draft appropriate legal provisions reflecting the agreed outcome
  • Be aware of operational risk scenarios associated with the role and tasks and act in a manner that takes account of operational risk considerations
  • Be highly organized, with excellent time and portfolio management skills
  • Have excellent interpersonal and communication skills
  • Be capable of building strong relationships with key stakeholders and external clients, and displaying the ability to liaise efficiently with senior front office contacts
  • Be able to work effectively in a pressurized and time sensitive environment
  • Display a flexible and adaptive approach to work
  • Be strong team player
  • Legal background (qualified lawyer or law degree) with strong prior experience in advising on FICC matters
  • Minimum 5 years' hands-on experience in advising on and drafting bespoke derivatives and/or securities financing documentation
  • Prior experience in a similar role in reputed law firm or financial institution
  • Strong English language skills, and Chinese (Mandarin) skills an added bonus
