M&A Counsel (Listed Company)

A listed company with business across Asia and the US is currently seeking a mid level counsel to join their team in Hong Kong. Joining a dynamic team, you will be the lead counsel advising the group's cross-border M&A and corporate finance transactions.

Responsibilities:

• Draft, negotiate and review investment documents to execute cross-border M&A transactions, including sales and purchase agreements, share purchase agreements, side letters, JV agreements etc.
• Advise senior management and business team on overseas expansion initiatives and related regulatory matters
• Keep abreast of latest regulatory development and update internal framework and policies accordingly
• Advise corporate governance and general commercial matters
• Provide internal training on related regulatory requirements and legal risk

Requirements:

• Qualified lawyer with 5+ years in PQE
• Experience advising M&A transactions
• Team player with outstanding communications skills
• Fluency in Chinese and English
