OUR CLIENT are the real estate Investment arm of a highly successful global financial services group with investments varying from property and infrastructure to bonds and cash. They are well established globally, as well as in the UK and now are looking for a Fund Governance Manager to join their Operations Team in Real Estate. This is pivotal role in their real estate fund management business and provides a unique opportunity to gain exposure to leadership teams from a fund management perspective and to work closely with fund managers and other senior stakeholders and managers and provides exposure to all aspects of Real Estate fund management.

THE ROLE: The successful candidate will ideally have a quasi legal / CoSec background and possess the ability to cover Company Secretarial activities, support with fund launches and new transactions and manage and maintain a large portfolio of entities and their compliance. The role involves management responsibilities as well as the those listed duties:

  • Working with transaction managers and external lawyers to facilitate corporate purchases and sales.
  • Working with product developers and external lawyers to provide internal governance advice on structuring new funds and products.
  • Working with asset managers and fund operations teams to ensure that all legal obligations are tracked and managed directly or via third party providers.
  • Working with Property Fund Finance team and directors to circulate and sign off financial statements for all investment subsidiaries via formal board meetings.
  • Overseeing related outsource service providers.
  • Initiating regular reviews of dormant subsidiaries and working with internal and external parties to facilitate solvent liquidations.
  • Acting as company secretary for various real estate legal entities, primarily key general partner in UK fund structures.
  • Arranging board meetings, producing board packs/minutes, drafting ad hoc transaction related board resolutions for key general partner entities.
  • Maintaining full records of staff directorships and associated property assets and managing the process for directorship reviews, appointments and resignations.
  • Providing advice and guidance to staff holding external directorships positions on joint ventures and other property vehicles and providing refresher training via retained lawyers.
  • Providing support to directors of offshore entities where UK input and facilitation is required for local drafting and execution.
  • Maintaining records of all real estate investment subsidiaries and associated property assets across the globe
  • Leading a team of two administrators in a busy document execution function, providing emergency cover for sealing administration where required.
  • Initiating annual property deeds audits through retained solicitors.
  • Establishing and maintaining timetable in conjunction with retained lawyers to ensure that significant litigation and non-procedural litigation reports are received each quarter.
  • Drafting quarterly Legal Risk Report to the company with input from external lawyers, on behalf of Head of Legal.
  • Working collaboratively with colleagues and taking personal accountability to maintain and enhance controls responsible for to support improvement of the overall control environment, customers outcomes and a reduction in operational risk.


THE PERSON: To be considered for this role, you must have at least 3+ years' experience in Real Estate and in a related role. It would be preferable that you hold legal and/0r CoSec background (qualified or working towards professional certification). As this is a 'Manager' appointment, you will be extremely proactive in managing your own and relevant stakeholders' work. You will also be able to provide excellent stakeholder management and will need above average interpersonal skills and be organised with the ability to manage workload from multiple teams at once.
