Position Description:

Essential Job Functions
Key areas of responsibility will include:

  • Support the investment team in deal execution including coordinating with outside counsel where relevant:
  • Structure and document new primary financings across jurisdictions with a focus on European and UK jurisdictions;
  • Review amendments and other legal issues arising from existing portfolio positions;
  • Be involved in the negotiation and documentation of Restructurings alongside the deal team;
  • Focus is on debt instruments (senior/ Subordinated/ Holdco PIK/ loans/ bonds) but also preferred equity and equity instruments including knowledge of documentation of Management Incentive Plans;
  • Assist the deal team in the legal due diligence process;
  • Oversee litigation matters when they arise;
  • Coordinate with tax, finance, compliance and operations on deal execution as applicable;
  • Coordinate and oversee external transaction counsel as required.
Internal support

  • Research various legal and regulatory issues, including those associated with expansion of PIMCO's business in corporate credit;
  • Manage regulatory issues associated with investment by private (and public) funds;
  • Work with product teams providing deal information as required for investor communications;
  • Support for general corporate and regulatory projects.


As well as the above, the role will involve general legal support for the functioning and processes of the legal team and the servicing of its clients.

Position Requirements:

Essential Experience

  • 5-10 PQE at a leading law firm or a combination of experience to include in-house experience with a global Financial Services or Private Equity firm, focused on alternative credit investments in the UK and across Europe (including loan origination and secondary loan trading, special situations and corporate financing, stressed or distressed debt and high yield debt)
  • Significant deal experience demonstrating ability to organise/deliver against tight deadlines
  • Familiarity with price sensitive information and conflicts of interest issues faced by investment managers with many public and private funds and accounts is desirable
  • Demonstrable commercial acumen
  • Exceptional attention to detail
  • High degree of personal and professional integrity
