General position summary
  • The J.P. Morgan EMEA M&A team is responsible for origination and execution of public and private M&A transactions involving European corporate, financial sponsor and government owned clients.
  • We maintain strong relationships with some of the most prominent and largest companies in the Europe and aid them through M&A / corporate finance advisory, in delivering on their corporate strategy.
  • In addition to regular buyside/sellside M&A advisory, the team is very focused on further developing its six core specialised M&A areas that have recently experienced immense growth in volume and in relevance:
    • Financial Sponsor M&A
    • Infrastructure M&A
    • Private Placements (across capital structure) / minority M&A
    • Commercial Bank M&A
    • Activism Defence
    • SPAC M&A / de-SPACing
  • As a result, we are involved in the vast majority of the major European and cross-border M&A transactions (including within abovementioned six areas) and consistently rank as one of the pre-eminent M&A advisory franchises globally.
  • Often, members of the deal team interact on a daily basis with the client's CEOs and CFOs.
  • A seasoned 3rd year analyst will be responsible for:
    • Supporting the EMEA M&A group's corporate finance advisory activities, including financial modelling/other analysis (as well as passing on the technical skillet to junior team members)
    • Particularly supporting SPAC M&A and Financial Sponsor M&A practices build out in Europe
    • Transaction structuring and process management
    • Helping J.P. Morgan to establish & solidify relationships with the clients through transaction work and day-to-day interactions.
  • Eligibility for promotion to Associate role in summer 2021 (for a current 3rd year analyst)
  • The position also presents an opportunity to gain exposure to companies in different sectors, regions (domestic vs cross-order), ownership status (public, private, government-owned), stages of development (growth vs mature), and to be on the edge of modern deal-making more broadly, including gaining insight into six specialised growth areas.

Key responsibilities

As a 3rd year analyst (and subsequently as a junior Associate post summer 2021) supporting the M&A /corporate finance advisory activities, your responsibilities may include, but are not limited to:
  • Preparing and auditing complex financial models and completing valuation, merger and other analytical exercises
  • Driving / assisting in drafting presentation materials, management & Board materials, Memorandums, and other materials for use in M&A transactions or strategic client dialogue
  • Developing expertise in SPAC M&A and supporting the build out of SPAC M&A and Financial Sponsor franchises in Europe
  • When appropriate, working closely with junior members on technical and presentation materials
  • Developing junior team members and passing on technical skillset / sharing experience
  • Keeping abreast of key market developments and establishing knowledge of the latest developments in the structuring and execution of M&A transactions
  • Closely collaborating with various industry, country and other product colleagues during origination and execution stages
  • Transaction execution specific responsibilities:
    • Generally helping with designing, organising and project managing M&A process
    • Participating in and contributing to M&A structuring discussions & negotiations
    • Supporting due diligence, deal documentation and announcement preparation
    • Regularly liaising with relevant counterparts at the client / other advisers, and in some cases - respective regional regulators.
  • Maintaining and strengthening relationships acquired through transactions with select corporate clients and financial investors
The work is fast-paced, demanding and intellectually stimulating. We look for candidates with the following:
  • Minimum two years 2 years of experience in corporate finance / M&A (transaction experience will be reviewed on a case by case basis)
  • Outstanding financial analysis and modelling skills (technical skillset will be reviewed on a case by case basis)
  • Strong interest and focus on M&A structuring
  • Strong academic background (Bachelor degree is a minimum; other qualifications such as CFA are encouraged but not necessary)
  • Excellent communication and project management skills
  • Ability to effectively organise and drive work streams
  • Strong commercial acumen
  • Determined and goal oriented personality
  • Natural team player, with a strong sense of ownership and accountability
  • Strong desire to learn, develop and grow within M&A / corporate finance field
  • Proficiency in MS office applications
  • Solid understanding of broader IB products
  • Experience in dealing with clients and other transactional advisers
  • Experience of working on SPAC M&A /IPOs is preferable but not necessary
