Job Summary:

Barings is expanding the Global Product Structuring team to add two US based professionals to cover the teams activities in respect of US and Cayman domiciled funds. The successful candidates will be primarily responsible for working on fund structuring projects, including new fund establishment and ongoing fund product management, focused on private and institutional funds, and will report to the Head of Global Product Structuring who is based in London.

Primary Responsibilities:
  • Assisting with the structuring, documentation, financial modelling and implementation of new and existing US and Cayman domiciled funds with a focus on private/illiquid asset funds and funds-of one, as well as private institutional orientated Delaware 3c7 funds and CITs
  • Review, development and negotiation of fund legal documentation for new funds and amendments of existing funds, including mergers and transition projects
  • Project management of workflows around new fund establishment updates and transitions
  • Assisting with ongoing product lifecycle of funds, including governance aspects, updates for regulatory change and other range enhancements
  • Coordination with other Barings global offices to ensure smooth running of projects with cross border aspects, including registrations and local regulatory filings
  • Financial modelling of individual transactions and fund structures including conducting appropriate sensitivity analysis
  • Working with the global team on design and establishment of currency hedging strategies in certain cases (eg currency feeders) for new US funds
  • Maintenance of technical expertise and understanding of evolving regulatory framework, proactively considering efficient responses to change requirements
  • Building strong relationships with and work alongside firms Product Specialists, Legal, Compliance, Sales, Operations, Investment, Finance and Risk teams, as well as external legal counsel, fund administrators, service providers and investors to ensure effective co-ordination across wide range of stakeholders

Knowledge Required:
  • 4+ years of relevant experience of establishing and operating US private funds
  • Practical knowledge of SEC requirements, ERISA and other technical aspects of US fund range product development and management
  • Practical experience of working with illiquid asset strategies, including private credit, real estate debt and equity, private equity
  • Accounting qualification (CA), CFA or other equivalent qualification preferred

  • Experience of reading and analysing technical legal and regulatory documentation

  • Clear communicator, both verbally and written for both internal audiences and external investors/counterparties
  • Advanced Excel skills
  • Excellent academic credentials
