Corporate Paralegal (OFI - IVZ)

Job Purpose (Job Summary):
Responsible for assisting attorney in executing legal transactions and in securing, preparing, drafting, and processing legal documents. Responsibilities include researching, reviewing, and interpreting legal documents for validity, content, accuracy, and compliance with applicable regulatory, client and/or firm guidelines.Incumbents have a thorough knowledge of legal documentation and procedures for examining, preparing, and processing legal documents.

Start date for this position will be after June 1, 2019

Key Responsibilities / Duties:

• GENERAL CORPORATE
• Draft board of director and shareholder resolutions, secretary certificates and other corporate documentation
• Under supervision of attorney, prepare and review director and officer questionnaires annually
• Under supervision of attorney, manage insider trading quarterly blackout notifications and other quarterly compliance communications
• Assist with rolling forward of proxy statements each year
• Under supervision of attorney, manage corporate governance of the Invesco Foundation (a 501(c)(3) entity)
• CONTRACTS
• Prepare and review non-disclosure agreements (NDAs)
• Assist as necessary with the execution of approved agreements and other corporate documents within corporate guidelines
• Assist as necessary with preparation of executive summaries of transactions and distribute to internal stakeholders
• LITIGATION
• Initiate and manage legal holds
• Assist with discovery on subpoena requests and other litigation matters
• Research and interview internal stakeholders to determine whether to opt-out of class-actions from time to time
• Coordinate with internal and external stakeholders for interviews, meetings, etc.
• MERGERS & ACQUISITIONS
• Assist with due diligence and gathering information required for anti-trust filings as needed

Skills / Other Personal Attributes Required:

• High level of accuracy and attention to detail
• Proficiency in Microsoft Word, PowerPoint, Outlook and Excel
• Experience in employment law, executive compensation and litigation management a plus
• Experience in the financial services industry, especially fund management, desired
