Position Description:

PIMCO has an opening for a Lawyer in our Toronto office. Reporting to the Deputy General Counsel, Trading and Markets, located in PIMCO's headquarters in Newport Beach, California, the incumbent will play a critical internal and external role developing, documenting and launching new PIMCO Canada products, including retail and institutional funds and institutional client separate accounts, reviewing and negotiating investment management agreements, general corporate representation, interpreting, delivering, and advising on new and existing regulatory initiatives, trends, policies, and developments to achieve organizational goals while ensuring that legal risk and regulatory compliance is managed to the highest levels of governance. The Lawyer will also provide broad-based legal and regulatory advice and support to business leaders, and working collaboratively internally and externally to enable strategic objectives.

Key responsibilities include, but are not limited to, the following:
  • Developing, documenting, launching and filing PIMCO Canada products, including retail and institutional funds and institutional client separate accounts
  • Reviewing and negotiating investment management and other agreements (service providers and intermediaries)
  • Filing and maintaining corporate and individual registrations
  • Filing annual capital markets participation and distribution filings
  • General corporate representation and preparation of Board documents
  • Identifying and managing corporate, regulatory, and related legal risks, working with stakeholders to affect remedial actions
  • Providing legal insights and direction on corporate initiatives, business planning and strategy, and driving a client-focused approach
  • Serving as a key liaison and working proactively with governments, regulators, and other stakeholders
  • Keeping abreast of regulatory developments and potential compliance impacts in Canada to inform PIMCO strategy and corporate initiatives
  • Managing relationships with outside counsel and overseeing legal services in connection with transactions
  • Other responsibilities as assigned

Position Requirements:

Position Requirements
  • Minimum 6 years of experience as an associate, counsel, partner or in-house counsel with leading law firms, global financial services firms, regulators or similar experience
  • Law degree and excellent academic credentials
  • Strong background in fixed income instruments, derivatives, alternative products, and equities
  • Strong knowledge of Canadian securities laws and regulations applicable to investment managers, in particular National Instruments 81-102, 81-105, 81-106, 81-107, 45-106 and 31-103
  • Member in good standing with a Canadian provincial
  • Demonstrated knowledge of corporate and securities law, industry compliance
  • Working knowledge of the legal structure, regulatory requirements, and internal standards relating to retail and institutional funds
  • Experience working with Canadian regulators, including the Ontario Securities Commission (OSC), and acting as a key point of contact on examinations, new regulations, queries, etc.
  • Experience with Compliance policies and procedures
Preferred Qualifications
  • Prior experience as in-house legal counsel within the investment management/fixed income industry
  • Bilingual in English and French, both oral and written
