About the Role

POSITION OVERVIEW

Wellington Management has been investing in private markets since 2003, and the firm launched its first dedicated private equity fund in 2014. Currently we manage approximately US $7 billion in committed capital four growth equity and venture funds. As part of the continued expansion of our private investing capabilities, we are seeking an attorney with private credit experience to join our Private Investments Legal Team. This new Counsel role will focus initially on supporting investment grade private placements. The ideal candidate has experience supporting investments in privately placed debt securities or other financing transactions on behalf of investment managers or other institutional investors.

RESPONSIBILITIES
  • Counsel cross-functional colleagues on legal and regulatory considerations to support the launch of a new private placements product, and advise on related policies, practices and frameworks
  • Develop and lead legal support model for private placement investments, collaborating with investment, business and legal team colleagues, and leveraging existing processes and resources as appropriate
  • Review and negotiate documentation related to private credit investments
  • Advise investment professionals on transaction terms, risks and deal structuring issues
  • Manage and oversee external counsel and alternative provider relationships
  • Represent the firm in negotiations with strategic clients and service providers
  • Flex to advise on other activities and transactions as needed
QUALIFICATIONS & SKILLS
  • 5+ years of experience practicing law at a national law firm or in-house
  • Experience supporting investments in privately placed debt securities or other financing transactions
  • Familiarity with federal securities laws and/or regulated investment manager context is a plus
  • Strong counseling skills and judgment, adept at balancing risks and commercial objectives
  • Strong organizational skills, able to prioritize and manage competing deadlines in a fast-paced environment
  • Excellent communication, relationship and influence skills, able to distill complex topics for varied audiences
  • Demonstrated analytical and problem-solving capabilities, able to proactively identify risks and areas for improvement and drive pragmatic solutions
  • Ability to work independently and collaboratively in a team-oriented, global and cross-functional environment
  • Growth mindset and intellectual curiosity, open to learning new practice skills and developing new subject matter expertise as needed
  • Desire to help develop and grow contributions of early career professionals in the team

Our approach to compensation considers all aspects of total compensation; all employees are eligible to receive salary, variable compensation, and benefits. The base salary range for this position is:
USD 100,000 - 225,000
This range takes into account the wide range of factors that are considered when making compensation decisions, including but not limited to skill sets; role; skills and experience; certifications; and education. This range is an estimate, and further details on salary and total compensation aspects will be shared with candidates during the recruitment process.

Base salary is only one component of Wellington's total compensation approach. Other rewards may include a discretionary Corporate Bonus and/ or Incentives, if eligible.
