The Role Responsibilities
Strategy
  • Lead and take responsibility for providing legal advice, guidance and support to business units and stakeholders on all legal matters relating to Global Credit Markets (with a focus on lending), Funds Finance, Commercial Real Estate Lending, Sustainable Finance Lending, M&A Advisory and ESG Advisory in Asia (with a focus on Greater China & North Asia) (the "Product").
  • Maintain close relationships with stakeholders including the Regional General Counsels and the Clients & Products Legal Heads to provide them with relevant legal advice, guidance and support.
  • Accountability on all Product-related Legal matters to relevant stakeholders.
  • Promote a culture and practice of compliance with legal standards (including conducting business within legal and regulatory requirements, with high ethical standards).
  • Develop thought leadership capability - as demonstrated by visibility within the region and the Group, and externally (in the industry) as a senior point of contact for Product-related legal consultation.
  • Lead through example and build an appropriate culture and values. Set an appropriate tone and expectations for the Product Legal team as regards good conduct.
  • Embed a Here for good culture in the Product Legal team and comply with (and endeavour to ensure the Product Legal team complies with) the Group Code of Conduct.
  • Follow the Group Management Responsibility Policy to ensure effective risk management and the implementation of proper controls across the Product Legal team.
  • Assist in the embedding and implementation of legal standards for the Product taking into account relevant regional/country issues.
  • Increase awareness throughout legal teams of the Product's business strategy.
  • Act as a point of escalation for any material legal issues involving the Product.
  • Identify horizon risks for the Product and develop strategies to mitigate such risks.
  • Ensure that regulatory reform/changes are appropriately assessed within Legal from a Product impact perspective and that any regulatory reform with global impact is appropriately escalated and managed.
Business
  • Take the lead in the provision of Product- related legal advice particularly with respect to new products and initiatives.
  • Provide strategic and, where appropriate, proactive advice to relevant stakeholders, on all legal and regulatory issues that have a significant impact on the Product, working with external counsel as appropriate (and seek to proactively identify such issues).
  • Provide transactional support in relation to the Product having regard to Product Programme Authorisation (PPG)/Country Addenda (CA) parameters and, if applicable, the Group's minimum standards and guidance for the relevant product(s) or service(s).
  • Act as lead lawyer for complex multi-jurisdictional transactions involving the Product, collaborating with the relevant Product, Regional and/or Country Legal teams to provide seamless support to the business.
  • Work with Product and other stakeholders to structure and define parameters for new products and initiatives and develop template legal documentation.
  • Work with relevant colleagues to ensure that global template documents are fit for purpose and promote standardisation across the Group.
Processes
  • Assist in the management of, and compliance with, any Group or Country processes owned by Legal where such processes are executed by the Product Legal team.
  • Be responsible, in relation to the Product, for: (i) the management of such processes in line with the Group's process universe as set out in the Enterprise Risk Management Framework; and (ii) associated risks, including activities within the processes which are carried out by the businesses or other functions or which are hubbed or outsourced.
People and Talent
  • Lead in the provision of ongoing training for and development of people in the Product Legal and business teams.
  • Engage relevant stakeholders (product business teams, other infrastructure and governance functions, and Legal and Compliance colleagues at Group, regional and country level) to obtain continuous feedback on the Product Legal team's performance.
  • Promote best practice and lessons learned across the Product Legal team, especially in relation to legal risks and compliance with relevant regulations and internal policies/procedures.
  • Provide input at business, function, country and individual level (as appropriate) on legal matters which may have a bearing on the development of people and talent within the Product Legal and business teams.
Risk Management
  • Maintain an awareness and understanding of the top risks facing the Group and the Product and the role played in managing them.
  • Monitor, and act on, Product-related horizon risks from the legal perspective.
  • Ensure close coordination with Disputes & Government Investigations Legal, Distressed Assets Legal and Group Special Assets Management (i.e. Stressed Assets Group and Stressed Assets Risk) for their input, where relevant, into litigation cases concerning Product-related transactions.
Governance
  • Ensure compliance with applicable Bank policies and procedures (including, without limitation, the Group Contracts Policy and the Group Engaging External Counsel Policy).
  • Where external counsel is appointed, ensure that the Product Legal team liaises with external counsel, ensures the scope of work is defined and appropriate, the quality of work is overseen effectively, legal costs are managed, and that there is appropriate overall matter management.
Regulatory & Business Conduct
  • Display exemplary conduct and live by the Group's Values and Code of Conduct.
  • Take personal responsibility for embedding the highest standards of ethics, including regulatory and business conduct, across the Bank. This includes understanding and ensuring compliance with, in letter and spirit, all applicable laws, regulations, guidelines and the Group Code of Conduct.
  • Lead the Product Legal team to achieve the outcomes set out in the Bank's Conduct Principles : Fair Outcomes for Clients; Effective Financial Markets; Financial Crime Compliance; The Right Environment.
  • Effectively and collaboratively identify, escalate, mitigate and resolve risk, conduct and compliance matters.

Other Responsibilities

  • Embed the Group's brand and values in the Product Legal function.
  • Perform other responsibilities assigned under Group, Country, Business or Functional policies and procedures.

Our Ideal Candidate
  • Qualified to practice as a solicitor/attorney or barrister/advocate in a common law jurisdiction.
  • Previous experience in private practice required.
  • Previous in-house legal experience welcome but not required.
  • Fluency in spoken and written English required.
  • Fluency in spoken Chinese (especially Putonghua) and written Chinese (especially Simplified Chinese) required.
