American Public Education Inc. (APEI) has big ambitions to grow and is currently undergoing a dramatic transformation that is repositioning the company for growth. The Director, Investor Relations and Corporate Development is an exciting new position with the opportunity to join early with our new team. We are looking for a talented, agile, and ambitious individual able to execute on these exciting responsibilities and grow with us.

The selected candidate will work closely with senior management to develop and execute the company’s investor relations strategy, support the company’s strategic and corporate development efforts and be a key contact with the financial community, helping to manage relationships with Sell-side Analysts, Buy-side investors, and our corporate banking partners.  In this role, you will support APEI’s strategic, M&A (Mergers & Acquisitions), and corporate finance activities while being the key contact with analysts and investors.  This is a unique opportunity for an individual to play a key role in the overall direction of the company and by virtue of this function, this person will have significant C-level interaction and exposure.  The position will report to the Chief Strategy & Corporate Development Officer, but will also directly support the CEO and CFO.

 Essential Duties and Responsibilities:

Investor Relations Responsibilities

  • Leads the quarterly earnings process, including:
    • Drafts the quarterly earnings scripts that summarize the company’s strategy, financial performance, and outlook. Builds a strong collaboration with Finance leadership and Executive team to create final script
    • Creates quarterly earnings presentation
    • Prepares Q&A
    • Supports composition of SEC filings
  • Drafts press releases for quarterly earnings and other investor relations events
  • Builds and maintains internal “investor model”
  • Maintains corporate IR website with consistent messaging
  • Prepares messaging for sell-side analyst conferences and other external events that clearly articulate the company’s story, strategy and performance
  • Works with management to refine APEI’s messaging for external shareholders
  • Ensures regular communication with existing shareholders, while targeting new potential long-term shareholders
  • Point of contact for APEI's sell-side research analysts, as well as potential future analysts
  • Prioritizes and organizes conferences and analyst sessions for Investor Relations/management to participate in or host
  • Closely manages relationships with equity research analysts to ensure published research is accurate and factual; track long-term price targets, consensus and ratings
  • Provides insights on market activity, key investor insights, sentiment and share ownership evolution to the executive leadership team
  • Prepares presentations, including board material and investor decks
  • Capital markets support, including partnering with investment banks, stock exchange, etc.
  • Works with Finance & Accounting team to maintain external model for banks/lenders, analysts and investors
  • Monitors and tracks peer earnings results, news flow and stock performance
  • Collaborates across the organization, including with our subsidiary entities and analytics, marketing and sales, legal and accounting functions to unify reporting of metrics and company messaging

 

Corporate Development Responsibilities

Closely partner with the CEO and Chief Strategy & Corporate Development Officer to support the Company’s M&A activities, including financial modeling, competitive intelligence, due diligence and transaction activities

  • Develops and maintains database of target opportunities
  • Conducts market analyses, including summary of TAM, key competitors and trends to help identify attractive market segments
  • Prepares target company research and analysis
  • Interacts with bankers on M&A opportunities
  • Builds financial models of target opportunities including developing synergy analysis
  • Assists with valuation analysis
  • Manages NDA process with APEI’s General Counsel
  • Participates in target management presentations
  • Helps develop business cases in support of acquisition targets
  • Participates in M&A process, including coordinating due diligence and engaging with senior leaders and participants both internally and externally

Work Environment and Physical Demands:

  • Position will be geographically located in the Washington DC Metro area. This position will require in-person work and collaboration in our offices in Charles Town, WV.  However, there will also be flexibility to work remotely.
  • Standard office environment

 

Desired Experience & Qualifications:

  • 10+ years of experience of in-house corporate investor relations, finance, strategy, or similar positions for a publicly traded company or investment banking or equity research
  • Bachelor's Degree in Finance, Accounting, Economics, or other relevant field. MBA or other advanced graduate degree strongly preferred.
  • CFA highly preferred
  • Education, EdTech and/or Talent Management industry experience helpful, but not required

Knowledge and Skills:

  • Strong financial modeling and knowledge of valuation methods, macroeconomics, capital market trends, competitor activities, and industry dynamics
  • Solid understanding of the financials and metrics performance as well as the product and market to create a narrative for external consumption.
  • Ability to convert complex financial information into understandable text
  • A writing voice to create engaging investor communications, presentations, and responses
  • Strong Excel and PowerPoint Skills
  • Strong presentation skills; communication of financial performance as well as company strategy

Compensation and Benefits:

  • APEI seeks to offer a competitive salary and benefit package. Based on education and experience, this position will offer a minimum base salary of $150,000.
