Position Description:

Work as an attorney in the Legal and Compliance group.
Specific responsibilities include:
•Develop, document, launch and maintain private funds with an emphasis on private-equity style funds
•Negotiate and manage side letters, including the review of MFNs
•Manage regulatory issues associated with private funds
•Work closely with product team on investor communications
•Work closely with portfolio management team and deal lawyers on matters relating to fund transactions
•Interact with and manage outside counsel on private fund launches and maintenance issues
•Review and negotiate investment management agreements/requests for proposals
•Review and negotiate placement agent, distribution and other third-party service provider agreements
•Research various legal and regulatory issues, including those associated with expansion of PIMCO’s business model
•Draft policies and procedures related to the launch and ongoing maintenance of private funds to capture institutional knowledge, remove bottlenecks and create efficiencies
•Work on general corporate projects
•Oversee some litigation matters

Education

•J.D. and excellent academic credentials from a top tier US school
•Five or more years as an associate at a leading law firm or regulator, or similar experience
•Industry experience including in-house experience within the asset management/alternatives industry is a plus.
•Comprehensive knowledge of securities laws applicable to registered investment advisors, including the Investment Advisers Act of 1940 and the Investment Company Act of 1940, Securities Act of 1933, Securities Exchange Act of 1934 and Commodity Exchange Act.
